You\n acknowledge that the quoted Conversion Rate may not be the same as the\n “Spot Rate” or the “buy” price or\n “sell” price at any specific time, and that GetCoins may\n add a margin or “spread” to the quoted Conversion Rate.\n You agree that You will not use any account other than Your own, or\n access the account of any other GetCoins customer(s) (whether\n authorized or unauthorized) at any time, or assist others in doing so.\n

Transactions Limits
\n\n
\n The use of the Service is subject to a limit on the US Dollar volume\n You may transact or transfer in a given period (e.g., daily, monthly,\n annually). Your transaction limits may vary depending on Your assessed\n risk level, geographic location, transaction history, payment method,\n verification steps You have completed, and other factors. GetCoins\n reserves the right to change applicable limits as We deem necessary in\n Our sole discretion. If You wish to raise Your transaction limits We\n may require You to submit additional information about Yourself or\n Your business, provide records, and arrange for meetings or telephonic\n interviews with the GetCoins Compliance Department staff (i.e. as a\n form of Enhanced Due Diligence). GetCoins reserves the right to charge\n You costs and fees associated with any such Enhanced Due Diligence\n required, provided that We notify You in advance of any such fees\n and/or costs. In Our sole discretion, We may refuse to raise Your\n limits or We may lower Your limits at any time.\n

Purchase Transactions
\n\n
\n After successful registration, You may purchase supported virtual\n currency online from GetCoins by linking a valid payment method, which\n may include wire transfers, ACH, or the use of a payment company. You\n authorize GetCoins to initiate debits from Your payment method(s) in\n settlement of purchase transactions. A Conversion Fee (as defined\n herein) applies to all purchase transactions. Although GetCoins will\n attempt to deliver supported virtual currency to You as promptly as\n possible, You acknowledge that funds will be debited from Your\n selected payment method before virtual currency is delivered to Your\n designated digital wallet or bank account, as appropriate.\n

\n You must trade Your entire Account deposit amount within 48 hours of\n the deposit being approved. Any untraded funds will be returned to the\n account it originated from, less $30 in bank fees. We will make\n Our best effort to fulfill all transactions, but in the rare\n circumstance where time has changed conversion rates, or, GetCoins\n cannot fulfill Your purchase order at the original conversion rate\n quoted, We will notify You and seek Your approval to fulfill the\n purchase order at the then contemporaneous Conversion Rate. To secure\n the performance of Your obligations under this Agreement, You grant to\n GetCoins a lien on and security interest in and to the balances on\n Your account. All purchases of digital currency are nonrefundable. Any\n wires that must be returned for any reason will be charged 5%\n administrative and service fee.\n

Sale Transactions
\n\n
\n After successful registration, You may sell GetCoins supported virtual\n currency online. An applicable Conversion Fee (as defined herein)\n applies to all sale transactions.\n
\n\n
\n When selling virtual currency, You must carefully check and confirm\n the type of virtual currency and bank details You provide to Us. Once\n both parties have agreed to proceed with the trade, We will provide\n You with Our wallet address to which You must transfer the virtual\n currency. You must make all reasonable efforts to ensure that the\n transfer is made immediately upon agreeing to trade with Us. We have\n no obligation to fulfil Your order if We do not receive the full\n amount of the agreed virtual currency within the specified time agreed\n to. You must:\n
\n\n (b) select the amount You wish to sell and request a quote (We only\n make payments in USD);\n
\n\n (c) await Our decision as to whether We wish to make You an offer\n to trade; and\n
\n\n (d) if You accept Our offer, press the confirm button and this\n will fix the trading price at which the trade will be completed.\n
\n\n The price which We offer You will depend upon the price at which We\n can buy or sell the relevant virtual currency at such time. You must\n make all reasonable efforts to send Us the virtual currency\n immediately. We will transfer a sum equal to the trading price to You\n in full cleared funds as soon as reasonably possible once We have\n received the virtual currency from You.\n
\n\n The time taken for You to receive payment for your virtual currency\n will depend on the payment type and method you have agreed to, and may\n take up to three or more business days.\n
\n\n
Conversion Fees
\n\n
\n Each Conversion Service transaction (i.e. Purchase Transaction and\n Sale Transaction) is subject to a fee (a \"Conversion Fee\"). The\n applicable Conversion Fee is displayed to You on the GetCoins Site\n prior to You completing a transaction. GetCoins will not process a\n transaction if the Conversion Fee and any other associated fees as may\n apply, such as wire transfer fees, exceed the value of Your\n transaction. GetCoins, in its sole discretion, may waive some portion\n of the Conversion Fee, depending on the payment method You select. The\n availability of each Payment Method depends on a number of factors,\n including but not limited to Your location, the identification\n information You have provided to Us, and limitations imposed by third\n party payment processors, as and if applicable.\n

\n GetCoins reserves the right to adjust Its Conversion Fees and any\n applicable waivers at any time. We will always notify You of the\n Conversion Fee which applies to Your transaction when You authorize\n the transaction and in each receipt We issue to You.\n

Reversals; Cancellations

\n You cannot cancel, reverse, or change any transaction marked as\n complete or pending. If Your payment is not successful or if Your\n payment method has insufficient funds, You authorize GetCoins, in its\n sole discretion, either to cancel the transaction or to debit Your\n other payment methods, in any amount necessary to complete the\n transaction. You are responsible for maintaining an adequate balance\n and/or sufficient credit limits in order to avoid overdraft, NSF fees,\n or similar fees charged by Your payment provider. GetCoins reserves\n the right to refuse to process, or to cancel or reverse, any purchases\n or sales of digital currency in its sole discretion, even after funds\n have been debited from Your account(s), if GetCoins (1) suspects the\n transaction involves, or has a high risk of involvement in, money\n laundering, terrorist financing, fraud, human trafficking, a scam, or\n any other type of financial crime; (2) in response to a subpoena,\n court order, or other government order; or, (3) if GetCoins suspects\n the transaction relates toa Prohibited Activity. In such instances,\n GetCoins will reverse the transaction and We are under no obligation\n to allow You to reinstate a purchase or sale order at the same price\n or on the same terms or rate as the cancelled transaction.\n

Denial of Service

\n We reserve the right to: (1) change prices without prior notice; (2)\n deny the Service to anyone accessing the Service using anonymity\n tools, IP hiding and all those that hide identification and/or origin;\n and, (3) deny the Service to anyone who, in Our sole discretion, does\n not demonstrate an acceptable level of trust.\n

\n In order to use the Service, including transfers of virtual currency\n and/or government-issued currency (i.e. fiat currency), You may be\n required to provide GetCoins with certain personal information,\n including, but not limited to, your name, address, cellular telephone\n number, e-mail address, date of birth, Social Security Number, and\n information regarding Your bank account (e.g., financial institution,\n account type, routing number, and account number). In submitting this\n or any other personal information, You warrant and represent that the\n information You provide is accurate, and You agree to update any\n changes in the information provided to GetCoins. You hereby authorize\n GetCoins to, directly or through third parties make any inquiries We\n consider necessary to verify the information You provide and/or\n protect against fraud, including to query identity information\n contained in public reports (e.g., Your name, address, past addresses,\n or date of birth), to query account information associated with Your\n linked bank account (e.g., name or account balance), and to take\n action We deem reasonably necessary based on the results of such\n inquiries and reports. You further authorize any and all third parties\n to which such inquiries or requests may be directed to fully respond\n to such inquiries or requests. This includes authorizing Your wireless\n operator (i.e. any wireless cellular operator) to use Your mobile\n number, name, address, email, network status, customer type, customer\n role, billing type, mobile device identifiers (IMSI and IMEI)\n and other subscriber status details, if available, solely to allow\n verification of Your identity and to compare information You have\n provided to GetCoins with Your wireless operator account profile\n information for the duration of the time You have an account with, or\n are registered with, GetCoins.\n

The value may decrease to zero making your virtual\n or digital currency, including Bitcoin, worthless. Digital currency\n trading also has special risks not generally shared with fiat or\n sovereign currencies.\n

Operation of Digital Currency Protocols

By using the\n GetCoins platforms and softwares, You acknowledge and agree (1) that\n GetCoins is not responsible for operation of the underlying protocols\n and that GetCoins makes no guarantee of their functionality, security,\n or availability; and (2) that the underlying protocols are subject to\n sudden changes in operating rules (a/k/a “forks”), and\n that such forks may materially affect the value, function, and/or even\n the name of the digital currency you store in Your digital wallet(s).\n In the event of a fork, You agree that GetCoins may temporarily\n suspend GetCoins operations (with or without advance notice to You)\n and that GetCoins may, in its sole discretion, (a) configure or\n reconfigure its systems or (b) decide not to support (or cease\n supporting) the forked protocol entirely. You acknowledge and agree\n that GetCoins assumes no responsibility whatsoever with regard or in\n connection with an unsupported branch of a forked protocol.\n

Termination

\n You may terminate this Agreement with Us, and close Your Account at\n any time, following settlement of any pending transactions.\n

\n You also agree that We may, in our sole discretion, terminate Your\n access to or use of the Site or Service, or access to Your Account,\n including without limitation, Our right to: limit, suspend or\n terminate the Service and Your Account(s); prohibit access to the\n Service and its - Content, services and tools; delay or remove hosted\n content; take technical and legal steps to keep You from accessing or\n using the Service if We believe anything You are doing creates any\n danger, potential harm or risk to the Service or others using the\n Service, or creates the risk of any legal liabilities, infringes on\n the intellectual property rights of third-parties, or is\n inconsistent with the letter or spirit of this Agreement.\n Additionally, We may, in appropriate circumstances and at Our\n discretion, suspend or terminate Your Account or accounts for any\n reason, including without limitation: (1) attempts to gain\n unauthorized access to the Service, Site or an account not your own or\n providing assistance to others attempting to do so, (2) overcoming\n software security features limiting use of or protecting any content,\n (3) using the Service to perform any Prohibited Activity, or and\n illegal activities such as money laundering, illegal gambling\n operations, financing terrorism, or other criminal activities, (4)\n violating this Agreement, (5) failing to pay or fraudulent payment for\n transactions, (6) unexpected operational difficulties, or (7) upon the\n request of law enforcement or other government agencies, if deemed to\n be legitimate and compelling by Us, acting in Our sole discretion.\n

\n If We suspend Your Account, or terminate Your use of the Site or\n Service for any reason, We will\n
\n\n provide You with notice of Our action unless a court order or other\n legal process prohibits Us from\n
\n\n providing You with such notice. You acknowledge that Our decision to\n take certain actions, including\n

Limitation of Liability

\n To the fullest extent permitted by the law, We shall not be held\n liable for any damages, losses or\n
\n\n liabilities, financial or otherwise, that You may incur in connection\n with Your access to or use of the\n
\n\n Site and/or Service, including any loss of profits, or special,\n incidental or consequential damages.\n
\n\n When accessing or using the Site or Service, You are fully responsible\n to comply with all laws and\n
\n\n regulations applying in the jurisdiction in which the access or use\n occurs. If You are the victim of a scam or fraud, You\n acknowledge and agree that Your use of the Site or the Service does\n not mean that GetCoins was involved or facilitated the scam or fraud.\n

AGREEMENT OR OUR RELATIONSHIP WITH YOU.

\n You agree to indemnify, defend and hold harmless Us from any claim,\n lawsuit, or demand (including\n
\n\n any attorneys' fees we incur), arising out of Your breach of these\n Agreement or Your access to or use of the Site or Service. If you\n believe that We have made an error in the provision of the Site or\n Service, You are required to notify us of any such error via email\n addressed to\n support@getcoins.com\n within ten (10) business days of the date of the transaction\n which You claim was in error. Your failure to provide Us with the\n required notice will constitute a waiver of any claim You may have.\n Within ninety (90) days of receiving notice, We will resolve Your\n claim by either correcting the error or by explaining to You why We\n believe no error was committed; any pending transactions may be\n suspended during this period.\n

Anti-Money Laundering

\n Courts and jurisdictions are divided on whether or not digital and\n virtual currencies are a currency.\n
\n\n Accordingly, digital and virtual currencies may or may not be\n “money” and, may or may not be “currency”, and\n therefore, not subject to anti-money laundering statutes. We have\n developed and You agree to abide by Our anti-money laundering policy\n which is designed to meet strict standards, including the existence of\n systems and controls to mitigate the risk presented to any person who\n accesses or uses the Service. This includes, but is not limited to:\n

\n attempted use of GetCoins for illegal or illicit purposes\n and to ensure our customers basic\n
\nprotections under consumer protection laws;
\n\n
Enforcement Network (“FinCEN”);
\n\n
\n
\n
\n
oversight of our BSA/AML Program;
\n\n
\n
\n
\n
employees.
\n\n
\n Our Customer Identity Program (“CIP”) is an important part\n of our BSA/AML Program, and helps us\n
\n\n detect suspicious activity in a timely manner, and prevent fraud. In\n accordance with this, in order to\n
\n\n open an Account, Your identity must be verified, authenticated, and\n checked against government\n
\n\n watch-lists, including the Office of Foreign Assets Control\n (“OFAC”). If You are an individual, prior\n
\n\n to opening an account, We will collect, verify and authenticate the\n following information:\n
\n\n

\n If You are ana business customer, We will collect, verify and\n authenticate the following\n
\ninformation:
\n\n
issued by government;
\n\n formation, unexpired government-issued business license,\n trust instrument or other comparable\n
\nlegal documents as applicable);
\n\n individual beneficial owner that owns 25% or more, as\n well as all account signatories; and\n
\n\n individual customer information collected above for more\n details).\n
\n\n nor any of its owners, principals, executive, or managers\n appear on OFAC or any other\n
\n\n governmental watchlist, we will provide you with account\n opening agreements electronically.\n
\n\n
\n We also file required reports with the U.S. Treasury (i.e. \n FinCEN) if We know, suspect or have reason to suspect suspicious\n activities have occurred. A suspicious transaction is often one that\n is inconsistent with a customer’s known and legitimate business,\n personal activities or personal means. Our compliance department\n monitors transaction to help identify unusual patterns of customer\n activity. In addition, all currency transactions over a determined\n amount are required to be reported to the US government (i.e. FinCEN).\n Our compliance department maintains records and supporting\n documentation of all reports filed.\n
\n\n
\n All records are retained for five (5) years and are readily available\n upon official request by an\n
\napplicable examiner, regulator, or law enforcement agency.
\n\n
Taxes
\n\n
\n It is Your responsibility to determine what, if any, taxes may be due\n as a result of Your access to or use of the Service. It is entirely\n Your responsibility to report and remit the appropriate tax to the\n proper taxing authority. We are not responsible for determining\n whether any tax is due or for collecting, reporting or remitting any\n tax arising from Your access to or use of the Service.\n

Disclaimer

\n Transactions involving digital and virtual currency are irreversible,\n so always make sure to check the receiving address before initiating a\n transaction. We highly recommend You only transact with individuals\n You know. We are in no way responsible for, among other things,\n losses, failures or problems caused by, related to, or arising from\n the technology used by digital and virtual currencies. We suggest You\n get advice from an independent, competent person or organization\n before You purchase any digital or virtual currency. The success of\n those who traded or purchased/sold any digital or virtual currency in\n the past is no indication of future success.\n

Governing Law and Venue
\n\n
\n This Agreement shall be governed by the laws the United States of\n America. The venue for any action or proceeding initiated shall be the\n the State of Nevada, the United States of America. If any action at\n law or in equity is brought to enforce or interpret the provisions of\n this Agreement and services provided herein, the prevailing party in\n such action shall be entitled to all reasonable costs to include\n actual attorney fees.\n

Severability
\n\n
\n In the event that any term or provision of these Agreement is held by\n a court of competent jurisdiction to be illegal, unenforceable or\n invalid in whole or in part for any reason, the remaining provisions\n of this Agreement shall remain in full force and effect.\n
\n\n
Interpretation
\n\n
\n The format, words and phrases used in these Agreement shall have the\n meaning generally understood in the digital currency industry. This\n Agreement shall be construed in accordance with its fair meaning and\n not against the drafting party.\n
\n\n
Force Majeure
\n\n
\n We shall not be liable for delays, failure in performance or\n interruption of service which result directly or indirectly from any\n cause or condition beyond our reasonable control, including but not\n limited to, any delay or failure due to any act of God, pandemic, act\n of civil or military authorities, act of terrorists, civil\n disturbance, war, strike or other labor dispute, fire, interruption in\n telecommunications or Internet services or network provider services,\n failure of equipment and/or software, other catastrophe or any other\n occurrence which is beyond Our reasonable control and shall not affect\n the validity and enforceability of any remaining provisions.\n
